1.1. Prices do not include VAT.

1.2. Prices are valid under the present customs and taxes regulations, we reserve the right to amend our prices, should these revealing regulations change.

1.3. Please note that the execution of the enclosed is subject to the settlement of outstanding due payments as well as the release of outstanding due letters of guarantee.

1.4. For training courses outside Egypt, we are not responsible for air tickets, hotel accommodation, visa, …etc

1.5. Payment to be made 100% in advance.

1.6. Prices are excluding transportation and accommodation

1.7. Payment through bank transfer or deposit. Our bank details will follow with the order confirmation.

1.8. Training days: Sunday - Thursday (Except Siemens Official holidays)

1.9. Training time: 9:00 am - 3:30 pm

1.11. Training time during Ramadan: 9:00 am - 2:00 pm

1.12. Enrollments are tentative and may be forfeit until receiving your official purchase order in all technical and commercial aspects, advance payment if any, and our order acceptance confirmation.

1.13. Siemens can withdraw from the contract if the training measures have to be canceled due to illness of the trainer or for technical reasons or for reasons for which Siemens is not responsible.  

- Before exercising this right of withdrawal, Siemens will try to arrange for another suitable employee to carry out the training measure or to rearrange the course for another date, provided this is possible and the customer agrees.  

- Siemens will inform the customer of such changes without delay.    

- In the event of Siemens withdrawing, the customer will be reimbursed for any payment made in advance for the cancelled training measures. The customer is not entitled to any other claims or rights as a result of withdrawal.

- In case of rescheduling or cancellation of the training course the following fees apply:

• Notification within (15) working days before the course date, reschedule or cancellation fees amount to be100% of the training course value.
• Notification from (16) to (25) working days before the course date, reschedule or cancellation fees amount to be 50% of the training course value.
• Notification more than (25) working days before the course date, no fees will be charged.

- In case a participant discontinues a course at any time, 100% of the training course value will be charged.

1.14. Siemens grants the customer the non-exclusive right to use the hardware and software products supplied to him and/or the hardware and software made available to him during the courses in unchanged form and exclusively for training purposes. The customer shall not remove, reverse-engineer, or decompile the software products provided for training purposes, and shall not copy or disassemble parts of the software programs or utilize them in any other, unauthorized way. The customer shall also not copy, reprint or translate, either in full or in extract form, any course documentation and training material provided to the customer (hereinafter referred to as "Documentation"). Dissemination, exploitation, and disclosure of the contents of the Documentation are prohibited to the customer.

Siemens Energy S.A.E General Terms and Conditions are an integral part of our offers, your purchase order must include your acceptance of our offer including its terms and conditions.

2.1. Compliance with Export Control Regulations

2.1.1. If Purchaser transfers goods (hardware and/ or software and/ or technology as well as corresponding documentation, regardless of the mode of provision) delivered by Siemens or works and services (including all kinds of technical support) performed by Siemens to a third party worldwide, Purchaser shall comply with all applicable national and international (re-) export control regulations. In any event, Purchaser shall comply with the (re-) export control regulations of the Federal Republic of Germany, of the European Union, and of the United States of America.

2.1.2. If required to conduct export control checks, Purchaser, upon request by Siemens, shall promptly provide Siemens with all information pertaining to the particular end customer, destination, and intended use of goods, works, and services provided by Siemens, as well as any export control restrictions existing.

2.1.3. Purchaser shall indemnify and hold harmless Siemens from and against any claim, proceeding, action, fine, loss, cost, and damages arising out of or relating to any noncompliance with export control regulations by Purchaser, and Purchaser shall compensate Siemens for all losses and expenses resulting thereof unless such noncompliance was not caused by the fault of the Purchaser. This provision does not imply a change in the burden of proof.

2.2. Reservation Clause Siemens shall not be obligated to fulfill this agreement if such fulfillment is prevented by any impediments arising out of national or international foreign trade or customs requirements or any embargoes or other sanctions.

2.3. Destination Control Statement (DCS) These items are controlled by the U.S. Government (when labeled with “ECCN” unequal “N”) and authorized for export only to the country of ultimate destination for use by the ultimate consignee or end-user(s) herein identified. They may not be resold, transferred, or otherwise disposed of, to any other country or to any person other than the authorized ultimate consignee or end-user(s), either in their original form or after being incorporated into other items, without first obtaining approval from the U.S. Government or as otherwise authorized by U.S. law and regulations. Items labeled with "AL” unequal "N” are subject to European / national export authorization. Items without a label or with the label "AL: N" / "ECCN: N", may require authorization from responsible authorities depending on the final end-use, or the destination.
